How Our Products Evolve

From Private Placement to Exchange-Traded

A typical Starwal product may progress through four stages as investor accessibility and public disclosure increase over time.

Stage 1 — Private Placement

Initially offered to eligible accredited investors through an exemption from registration, subject to transfer restrictions and minimum holding periods.

Stage 2 — Public Quotation

Once restrictions lapse and market requirements are met, products may be quoted on OTC Markets — broadening brokerage access and providing secondary market liquidity.

Stage 3 — SEC Reporting

Certain products become reporting issuers under the Securities Exchange Act of 1934, subject to enhanced periodic disclosure obligations and greater transparency.

Stage 4 — Exchange-Traded

Where permitted, products may seek exchange-traded status with creation and redemption mechanisms that help prices align with net asset value.

The management fee on Starwal's exchange-traded ETF and ETP products is 0.15% per annum. This covers ordinary ongoing operating costs including sponsor services, custody-related expenses, and routine administration. Fees are accrued over time and reduce the digital assets represented per share. Brokerage commissions may also apply.

Digital asset investments involve significant risk, including substantial price volatility and the possible loss of all principal invested. Products are not registered under the Investment Company Act of 1940. OTC-quoted shares may trade at a significant premium or discount to NAV. Staking rewards are not guaranteed.
